INTRODUCTION

1.1   Background of the Study

        The Nigerian capital market is regulated by a panoply of laws, chief among them being the Investments and Securities Act, 2007 (ISA). The capital market in any economy globally plays a pivotal role in the promotion and protection of investments[1]. It has the potential for providing financial facilities for economic development. This import has informed civilized legal systems to place a very high premium on the capital market as its contribution to economic development of a country is immeasurable. The success or failure of any economy is hinged on the viability of the financial system which depend largely on the effective structure and operation of the capital market of such economy[2].

        The capital market is considered the bedrock of growth and development of modern national economy because it can attract investors to invest in the economic subsectors. The importance of a capital market cannot be undermined as research has shown
